Registered Trademark:
(1) Trademark Application Form:A completed and signed trademark registration application form for Malaysia.
(2) Trademark Sample:A clear trademark sample, including black and white or color versions.
(3) List of Goods/Services:Clearly list the categories and specific items of goods or services related to the trademark.
(4) Applicant Information:Individuals: Provide a copy of identification documents (such as ID card, passport) and contact address. Companies: Provide a copy of the business license or registration certificate, as well as the company address.
(5) Priority Documents (if any):If claiming priority, provide relevant priority documents such as proof of the application date in the first application country/region.
Registered Company:
1. Registration Materials:
(1)Company Name:You need to provide 3-5 company names for the Malaysian Companies Commission (SSM) to conduct a name review. The company name must comply with Malaysian company naming rules, cannot be identical or similar to already registered company names, and cannot contain prohibited words.
(2)Name Approval Application Form:Fill out the name approval application form as required by the Malaysian Companies Commission, which should include the proposed company name, nature of business (main activities), and other information.
2. Shareholder Information:
(1)Identification Documents:All shareholders (including local and foreign shareholders) need to provide copies of valid identification documents. For individual shareholders, it is usually an ID card or passport; for corporate shareholders, relevant documents such as company registration certificate, business license, etc., are required.
(2)Shareholder Address Proof:Can be utility bills, bank statements, or letters issued by government departments, etc., to prove the shareholder's residence or registered address.
(3)Shareholding Distribution Details:Clearly specify the shareholding ratio of each shareholder, and provide written documents explaining the shareholding structure, such as shareholder agreements or relevant clauses in the company's articles of association.
3. Director Information:
(1)Shareholder Information:At least one local director (Malaysian citizen, permanent resident, or person holding a Malaysian work permit) is required, and all directors must provide valid identification documents, such as copies of ID cards or passports.
(2)Address Proof:Similar to shareholders, address proof documents for directors are required.
(3)Director Appointment Letter:If the company has multiple directors, a formal director appointment document is needed, stating the responsibilities, terms, and other information of each director, which should comply with Malaysian company law requirements.
4. Company Registered Address Related Materials:
Registered Address Proof:Provide proof of the company's registered address in Malaysia. This can be a lease agreement (if it is a rented office space) or a property ownership certificate (if it is owned property). The registered address must be a valid address within Malaysia and able to receive correspondence from government departments and other institutions.
5. Company Business Related Materials:
(1) Company Articles (Memorandum and Articles of Association): This is the basic rule manual for the company's operation, which needs to detail the company's purpose, business scope, shareholder rights and obligations, company governance structure, etc. It can be drafted based on the template of Malaysian company law or customized according to the company's special needs, but must comply with Malaysian legal requirements.
(2) Description of Business Scope:Clearly state the company's main business activities, which should be consistent with the business scope described in the articles of association. The Malaysian Companies Commission will determine the industry category of the company and any special licenses or approvals that may be required based on the provided business scope information.
6. Other Materials:
(1) Statutory Declaration Form:A statutory declaration form signed by the company's directors or authorized representatives, declaring that the registered company information provided is true, accurate, and complete.
(2) Proof of Registered Capital (if applicable):If the company has a registered capital requirement, proof of the source of funds is needed, such as bank statements or capital verification reports, to demonstrate that shareholders have injected the corresponding capital. However, there is no strict minimum limit for registered capital in Malaysian company registration, but certain industries may have special regulations.
